BY SUBMITTING THESE MATERIALS, YOU AGREE THAT ALL COPY AND IMAGES ARE ORIGINAL WORKS, OR THAT A LICENSE HAS BEEN OBTAINED TO USE THESE MATERIALS AND CAN BE DOCUMENTED IF NEEDED.
The Sponsor/Advertiser or any Agency working on their behalf shall indemnify, defend and hold harmless Group C Media and its officers, directors, partners, agents, members and employees from and against any and all demands, claims, damages to persons or property, losses and liabilities, including reasonable attorney's fees (collectively "Claims") arising out of or caused by Sponsor/Advertiser or Agency negligence in connection with the provision of services or the submission of any material such as photos, editorial copy on any Group C Media website, or magazine. The Sponsor/Advertiser or their representing Agency shall not have waived or be deemed to have waived, by reason of this paragraph, any defense which it may have with respect to such claims.
